Is filing with the Ministry of Commerce enough to be “available for public use”? (IFRS 10)
IFRS 10 grants an exemption from preparing consolidated financial statements if specific conditions are met, including the requirement in paragraph 4(a)(iv) that the ultimate parent’s consolidated financial statements are “available for public use”.
What does “available for public use” mean?
There is no defined term for this in IFRS 10 or IAS 27. Even so, the purpose of the condition is to ensure that the parent’s consolidated financial statements can actually be accessed by users of financial statements.
Therefore, merely filing the financial statements with the Ministry of Commerce or any government body — without a public right of access to them — does not meet the “available for public use” condition.
The statements are available for public use if the public can access them — for example: publication through a stock exchange or securities market; announcement on the entity’s website; or publication in the media, daily newspapers, or any channel that enables the public to reach them.
Reminder (IAS 27): if the entity uses this exemption and prepares only separate financial statements, it must disclose the name of the ultimate parent, its principal place of business, and the address from which users can obtain its publicly available consolidated financial statements.
